Who operates AdXenx
AdXenx is an advertising platform operated by SOVIMI Aziz Vorrez, a Beninese national, a sole trader registered with the Trade and Personal Property Credit Register of Cotonou (Benin) under number RB/ABC/24 A 117739, principal registration dated 31 December 2024, trading under the business name UpgradeX.
AdXenx is not a company. It is one individual carrying on business in his own name. Wherever these terms say "we", "our" or "the platform", that is who is meant.
Registered seat: Îlot 4600, Parcelle N, Zogbadjè, Abomey-Calavi, Atlantique, Benin. Contact: [email protected] - +229 0198981541. Publication director: SOVIMI Aziz Vorrez.
Registered activity: computer and related activities - software engineering, custom software development, maintenance and technical support, technology consulting, information-systems integration, business-process automation.
These terms cover both sides of the platform: adxenx.com, the advertiser dashboard, and publisher.adxenx.com, the publisher and creator portal. By creating an account or using either one, you accept them.
Who may open an account, and the account rules
You must have the legal capacity to enter into a contract to open an account. If you open one on behalf of a business, an association or any other body, you are stating that you have authority to bind it.
An account must hold accurate information: name, email address, phone, country. We verify the email address before letting you use the service. If your details change - your payout details above all - update them yourself. Money sent to stale details that you gave us is not our responsibility.
Your password and your session are yours. Do not share them. Anything done from your account is treated as done by you, until you tell us otherwise at [email protected].
One account can hold several roles: advertiser, publisher, creator. Each role's rules apply when you are acting in that role.
Do not open multiple accounts to get around a suspension, to inflate earnings, or to present an audience you do not have.
The advertiser side: funding and running a campaign
You create a campaign, you set a budget on it, and you fund it up front. A campaign only serves against money that is already there. All amounts are in CFA francs (XOF).
What the budget buys depends on the goal you pick. On CPM, you pay per thousand impressions served. On CPC, you pay per click. The budget draws down as the campaign delivers; when it is spent, the campaign stops.
A budget buys delivery, not an outcome. The figures the dashboard shows you before launch - reach, expected impressions, expected clicks - are estimates worked out from your settings. They are estimates, not commitments. We do not guarantee a volume, a click-through rate, a sale, or placement on any particular site.
Live figures can also move after the fact: delivery measurement is reconciled and invalid traffic is stripped out of it (see the invalid traffic section). Billing follows the reconciled figures.
Your creatives are reviewed before they run. We may reject a creative, ask for a change, or pull one that is already live, without a long explanation - in particular where it breaks the prohibited content section or where a publisher has a fair objection to it. A rejection costs you nothing from your budget.
What you advertise stays your responsibility: whether your claims are true, whether you hold the rights to the images, copy and trademarks you use, and whether what you sell is lawful in the countries you target.
Money put on a campaign is there to buy delivery. If you stop a campaign before the budget runs out, the unspent balance stays available for another campaign on the platform.
The publisher side: spaces, revenue share and payouts
A publisher registers a space - a website or an app - where ads can be served. Every space is reviewed before it receives ads. We may reject a space, or drop it later, if its content or its traffic is not a fit.
You must have the right to place advertising on the space you register. Registering someone else's site, or a site you do not control, is grounds for immediate suspension.
You earn a share of the spend the ads served on your spaces generate. The default share is 60% to the publisher. The rate that applies to your account is shown in your portal; where it differs from the default, the rate shown is the one that applies.
Earnings accrue as ads deliver and are credited to your account balance. They are calculated only on traffic counted as valid. An impression or a click discarded as invalid earns nothing, including where it had already appeared in your stats before reconciliation.
You request a payout from your portal once your available balance is above the minimum shown there. We pay to the payout method you have saved. Check those details: a transfer sent to wrong details you entered cannot be pulled back by us.
A payout request is handled manually. We may hold it while we check the traffic behind the earnings, settle a dispute with an advertiser, or clear a doubt about who the recipient is. If a check establishes that earnings came from invalid traffic, they are removed from the balance before payment, even if they had been sitting there for a while.
You must not click the ads on your own spaces, ask other people to, buy traffic, hide or overlay the ad slots, or load ads out of the visitor's sight.
Creators marketplace: booking, escrow and fees
The marketplace connects an advertiser with a creator for a paid content deal. The engagement is between those two; we provide the tool, the introduction, the conversation, and the holding of the money.
A creator publishes a profile: display name, bio, niches, languages, rate card, and the social accounts they declare along with their audience figures. Those figures are declared by the creator. We do not verify them against the platforms concerned. An advertiser booking on the strength of them does so at their own risk; a creator who inflates them risks suspension.
Booking and escrow. When an advertiser books a creator, the agreed amount is taken and held in escrow by the platform. It belongs to neither side until the work is settled. The creator should not start before the escrow is funded.
Approval and auto-release. The creator delivers through the deal conversation. The advertiser has the window shown on the deal to approve or dispute. On approval, the funds are released to the creator. If the advertiser does not respond within the window, the funds are released to the creator automatically: silence counts as approval.
Disputes. If the advertiser disputes within the window, the deal goes into dispute and the escrow stays locked. We look at the conversation, at what was delivered and at what was agreed, and we decide: release to the creator, refund to the advertiser. We decide on what is visible inside the platform - which is why everything should go through the deal conversation. Our decision settles where the escrowed money goes; it takes no one's right to go to court away.
Fees, plainly. The advertiser pays 10% on top of the amount agreed with the creator. The creator has 10% of the agreed amount withheld at release. On a 100,000 XOF deal: the advertiser pays out 110,000 XOF, the creator receives 90,000 XOF.
The creator stays responsible for their content: for disclosing that it is advertising where the law requires it, for holding the rights to what they publish, and for the rules of the social platform they publish on.
Payments, wallet and invoices
Incoming payments are handled by our payment processor Moneroo, which accepts cards and West African mobile money. The terms and fees of your payment method, your bank or your mobile operator apply on top of ours and are outside our control.
Everything is in XOF. If your payment method is in another currency, the conversion rate and charges are your provider's.
Your account keeps a record: invoices, payments received, wallet movements, payout requests, escrow states. That record is what we both go by, unless you report an error and we confirm it.
Report any billing or earnings discrepancy to [email protected] as soon as you spot it. We fix errors we find on our side, including when the fix does not go our way.
Any tax due on what you earn or spend through the platform, in your country, is yours to handle. We do not file it for you.
Invalid traffic
Some ad traffic is not a person looking at an ad: bots, scripts, click farms, automated loads, repeated clicks from the same source, activity fired to inflate numbers.
We detect that traffic and flag it. An event flagged as invalid is excluded on both sides: it is not billed to the advertiser, and it earns nothing for the publisher. The same exclusion, applied to both, on the same events.
Some of this detection happens after the fact. Impressions or clicks visible in your stats can therefore disappear, and an earnings balance can go down after reconciliation. That is normal and it is not a platform error.
No detection system is perfect. We do not guarantee that 100% of invalid traffic is caught, or that no legitimate traffic is caught by mistake. If you believe a significant volume was misclassified, write to [email protected] and we will look again.
Deliberately generating invalid traffic - from any side - cancels the earnings involved and gets the account suspended.
Prohibited content and conduct
None of the following is accepted on the platform - not as an ad, not on a publisher space, not in a creator's content.
Content that is illegal in the countries where it runs or is published: drugs, weapons, forged documents, counterfeits, child sexual abuse material, incitement to hatred, violence or terrorism, human trafficking.
Scams and deception: false earnings promises, pyramid schemes, fake testimonials, miracle cures, impersonating a brand, a public body or a person, phishing, fake sign-in pages.
Adult content, gambling that is not licensed in the country targeted, and anything requiring a licence you do not hold.
Malware, forced redirects, windows that trap the browser, unsolicited downloads, and code that tracks visitors beyond what our privacy policy describes.
Gaming the platform: artificial traffic, fake accounts, fake creator profiles, inflated audience figures, multiple accounts to get around a decision, attempted unauthorised access, automated scraping of the site, working around technical limits.
And in conversation: harassment, threats, or discriminatory language towards another user or towards us. The deal conversation is for doing the work.
We can remove content that breaks this section without notice. Responsibility for what you publish or run stays yours.
Service availability and changes
We run the platform as well as we can, but we do not promise it will be available without interruption. There will be maintenance, outages, and outside dependencies that fail - hosting, the payment processor, storage, networks, mobile operators.
We may change the platform: add, alter or remove features. Where a change affects your earnings, your fees or your payouts, we will tell you by email or in the app before it takes effect.
We may change these terms. The version in force is the one published on adxenx.com. For a significant change we will let you know; continuing to use the service after the effective date is acceptance. If a change does not suit you, you can close your account and request payout of your available balance under the rules above.
Suspension and termination
You can close your account at any time by writing to [email protected]. Before closure, running campaigns stop, open deals must be completed or settled, and the available balance can be requested for payout under the usual rules.
We may suspend an account, a space, a campaign or a creator profile where we have serious reason to think there is fraud, deliberately generated invalid traffic, prohibited content, non-payment, impersonation, or legal risk to the platform. A suspension is a holding measure: we look into it, and we lift it if the reason does not hold up.
We may close an account permanently for a serious or repeated breach, or where our review confirms fraud.
Where an account is closed for fraud or deliberately generated invalid traffic, earnings from that activity are not paid out. Amounts properly earned and unconnected to it remain due and are paid through the usual process. Money held in escrow on an open deal is settled before any closure, under the marketplace section.
We will tell you about a suspension or closure and why, unless the law or an ongoing investigation stops us. You can contest it at [email protected].
Liability
This platform is run by an individual, with the resources of a sole proprietorship. The limits below reflect that and are part of why the service costs what it costs.
We are responsible for what we do: serving the ads, counting delivery, holding your money in escrow, paying balances due, and handling your data as our privacy policy says. On those, we answer for our failures.
We are not responsible for the following.
The commercial outcome of a campaign. A budget spent that produced no sales gives no right to a refund.
The content, products, promises and declared audience figures of users - advertisers, publishers, creators. We review creatives and spaces, but that review does not make us the guarantor of what someone else publishes or sells.
Whether a piece of work between an advertiser and a creator is properly done. Our role stops at holding the escrow and deciding where the money goes in a dispute.
Failures of the third parties the service depends on: payment processor, storage, hosting, networks, mobile money operators, social platforms.
Indirect losses: lost profit, lost customers, lost data, damage to reputation, time spent.
And anything outside reasonable control: network or power cuts, natural disaster, a decision by an authority, conflict.
In any event, and except for our intentional or gross fault, the total of what we can owe you on a claim is limited to the amounts you paid us, or that we owed you, over the twelve months before the event giving rise to it.
Nothing in this section removes liability that Beninese law does not allow to be removed.
On your side, if a third party brings a claim against us because of what you published, ran or sold through the platform, the consequences fall on you.
Personal data
What we collect and why is set out in our privacy policy, which is part of these terms. In short, and so it is stated here too.
We hold your account information, your billing and payment data, the conversations and attachments on your deals, and ad delivery events. Those events include the visitor's IP address, kept both in raw and hashed form, along with country, city, device type, referrer and a bot flag. That data is used to measure delivery, to bill, to calculate earnings and to detect invalid traffic.
We use Microsoft Clarity, a product analytics tool that records browsing behaviour on our web apps. Our providers are Moneroo for payments, Cloudflare R2 for storage of creatives and deal attachments, Cal.com for booking demo calls, and an SMTP provider for transactional email.
If you place our ads on your space or run a campaign, it is on you to inform your own visitors or customers as the law that applies to you requires.
The privacy policy has the detail, and how to exercise your rights over your data.
Intellectual property
The platform - the software, the interface, the AdXenx name, the site's copy and visuals - is ours. Using the service gives you no rights over it beyond using it normally for as long as your account is open.
What you upload stays yours: your ad creatives, your creator content, your attachments. You give us the right to store, display and serve them as far as the service needs - running a banner on publisher spaces, showing a delivery to the advertiser who commissioned it, keeping an attachment reachable in a deal conversation.
A creator and an advertiser settle between themselves what happens to content made for a deal: where it is published, how long it stays up, whether the advertiser may reuse it elsewhere. Agree it in the deal conversation; with no agreement, the creator keeps their rights.
If you believe content on the platform infringes your rights, write to [email protected] saying which content and which right. We will look at it and take it down where the claim holds.
Governing law and disputes
These terms are governed by the law of Benin, including the applicable OHADA Uniform Acts.
Before going to court, write to us at [email protected] and set out the problem. Most disagreements settle that way, and faster. We undertake to reply.
Failing an amicable settlement, the dispute goes before the competent courts of Cotonou, Benin.
If any clause of these terms is held invalid, the rest still applies.
The French and English versions carry the same content. Where their interpretation diverges, the French version prevails.
